Profile

Roman specializes in corporate law, investments and b2b-contracts. Since 2006 Roman has consulted Russian, foreign and international financial, infrastructure and energy companies, issued legal opinions and memoranda, prepared all the necessary documentation on M&A, loans and leasing agreements, securities issues and PPP projects. He advised his clients about compliance, sanctions and restrictive measures. He also represented his clients in Russian state commercial courts.

Roman studied law at the Saint Petersburg State University and at the Russian School of Private Law (Moscow), graduated with the diploma cum laude. Roman has good knowledge of English.

Experience

  • Legal representation of a Russian manufacturing company both in Russia and in Austria (ICAC, Commercial Court of Vienna) with regard to the Cooperation Contract and the Sales of the industrial products Contracts (debt recovery, defence in damages claim);  

  • Consulting Russian subsidiary of a foreign bank on contract structuring and preparing the framework b2b- and b2c-documentation on loans (real estate, transport facilities);  

  • Laying out the structure of an international holding company and floating the JV in Russia with the participation of foreign capital to act as a subholding company for the management and manufacturing Russian facilities and facilities abroad, incl. asset holding structure modification with the in-parallel decrease of the foreign companies interests to manage the OFAC’s sanctions and restrictions and to achieve the deoffshorisation goals;

  • Legal development of possible options with regard to the Approaches of the Information and Computing Centre to collect the payments on the Russian toll roads.
